    Barun Hydropower Company Limited (BARUN) has announced its plans to hold a Special General Meeting (SGM) on the 14th of Shrawan, 2080. The meeting is scheduled to take place at Lord Party Venue in Dhumbarahi and will commence at 1 pm.

    During the SGM, BARUN will propose a 1:1 ratio rights offering, equivalent to 100% of the company’s paid-up capital, which currently stands at Rs. 53.58 Crores. It is important to note that the issuance of these right shares is subject to approval from the regulatory bodies. If approved, the issuance will result in an increase in the company’s paid-up capital to Rs. 1.07 Arba.

    Considering the potential increase in the company’s capital after the issuance of the right shares, the SGM will also address the need for amending relevant sections of the Articles of Association. The purpose of these amendments is to align the Articles of Association with the updated capital structure. Furthermore, the shareholders will be asked to grant full authority to the Board of Directors (BoDs) to carry out the necessary work related to the amendments, as guided by the regulatory board.

    It should be noted that the book closure date for the SGM is set for Shrawan 05. Shareholders who maintain their ownership before this date will be eligible to attend the meeting and participate in the decision-making process.

    The hydropower company plans to issue 50% right shares valued at Rs. 40.32 Crores. This will involve the issuance of 4,032,875 (in a ratio of 1:0.50) units of right shares to its existing shareholders. Currently, the company has a paid-up capital of Rs. 80,65,75,000. Upon the completion of the proposed right share adjustment, the paid-up capital will increase to Rs. 120.98 crores.

    To participate in the rights offering, shareholders must have maintained their ownership in the company until today. The book closure date has been set for Ashad 22, 2080, which means that only shareholders who meet this requirement will be eligible to participate in the rights offering.

    Ngadi Group Power Limited (NGPL) has proposed to offer 100% rights shares to its existing shareholders. The proposal was made during a recent Board of Directors meeting.

    NGPL’s Siurikhola Small Hydropower Project, located in Lamjung District, Gandaki Province, with a capacity of 4.95 MW, has been performing well due to regular maintenance. However, additional funds are needed to maintain existing projects, settle payments, invest in new projects, attract investments, create jobs, and increase national capital.

    To address this funding requirement, NGPL aims to issue rights shares in a 1:1 ratio to its current shareholders. This will increase the company’s paid-up capital from Rs. 1.85 Arba to Rs. 3.7 Arba.

    Approval from the Electricity Regulatory Commission and subsequent endorsement at the Annual General Meeting (AGM) are necessary for the issuance of the rights shares.

    NGPL had previously issued 150% rights shares to its shareholders.

    As of July 02, NGPL shares were trading at Rs. 241.

    NEPSE has adjusted 50 percent of NHPC’s rightful shares, resulting in a revised share price of Rs. 182.7. This adjusted price was determined based on the closing price of NHPC’s shares in the previous trading day, which was Rs. 223.10. The revised share price will come into effect when trading resumes on Sunday in the secondary market.

    NHPC has announced plans to issue 50% right shares worth Rs. 82.21 Crores. This entails offering a total of 8,221,459.7178 (10:5) units of right shares to its existing shareholders. Currently, NHPC’s paid-up capital stands at Rs. 1.64 Arba, and it will increase to Rs. 2.46 Arba following the issuance of the proposed right shares.

    Ridi Power Company Limited (RIDI) has announced its plan to hold a Special General Meeting (SGM) on 8th Ashad, 2080. The meeting will take place at the Indreni Complex in Naya Baneshwor, Kathmandu, starting at 11 am.

    One of the key proposals on the agenda is a rights offering of a 1:0.50 ratio, which means that existing shareholders will have the opportunity to purchase additional shares at a ratio of one share for every two shares held.     Multipurpose Finance Company Limited handled the process of issuing rights shares (MPFL). In an application filed on February 29, the company requested approval from the Securities and Exchange Commission (SEBON) to issue rights shares.

    If SEBON grants permission for the said right shares, MPFL will distribute 35 percent of the paid-up capital, or 1:0.35, to shareholders. It states that a total of 15.82 lakh shares will be sold at a nominal price of Rs. 1

    Ridi Power Company Limited (RIDI) reported a 95.81% decrease in net profit in the second quarter (Q2) of the current fiscal year 2079/80. Profit declined to Rs. 1.96 crores in this quarter from Rs. 46.98 crores in the previous year’s equivalent quarter.

    In this quarter, the firm recorded total income of Rs. 18.92 crores, a 71.94% reduction from the previous year’s similar period.

    According to management, there has been no substantial change in the organization’s balance, income, or liquidity during this quarter. The operations are carried out in accordance with the company’s business plan. During this quarter period, as the company’s interest climbed, the income decreased, and it is projected that the profit will improve when the interest expenditure reduces in the future days, and the income will improve from the following quarter.

    It has a reserve resource of Rs. 50.25 crores and a share capital of Rs 1.10 Arba. For Fiscal Year 2078/79, the corporation additionally proposed 40% bonus shares worth Rs. 44,25,43,200 and a 2.10% cash dividend (including tax) of Rs 2,32,33,518. The firm has capitalized these extra dividends, resulting in an increased paid-up capital of Rs. 1.54 Arba.

    Furthermore, the business intends to issue 77,44,506 rights shares (1: 0.50 ratio right shares) to shareholders. Following SEBON clearance, this will be given from the paid-up capital of Rs. 1.54 Arba.
