    A significant decision made during the meeting was the endorsement of a 10.8013% dividend to shareholders. This dividend comprised a 0.5401% cash dividend and a 10.2612% bonus share, calculated from the paid-up capital of Rs. 1.90 Arba.

    Moreover, the gathering witnessed the election of a new board of directors for the company. The selections included individuals such as Mr. Ajad Shrestha, Mr. Pranav Kumar Das, and Mr. Balram Khanal representing the founder’s side, along with Mr. Panu Datta Poudel and Mr. Shambhu Adhikari, who were elected to represent the general public. The agreement, signed by Mr. Aashish Thapa, the Executive Chairman of United Mewa Khola Hydropower Limited, and Mr. Sabir Bade Shrestha, the CEO of Citizens Capital Limited, outlines the collaboration for managing the IPO.

    Under the terms of the agreement, Citizens Capital Limited, a subsidiary of Citizens Bank International Limited, will take charge of overseeing the Initial Public Offering for United Mewa Khola Hydropower Limited. The IPO aims to issue ordinary shares to both affected locals and the general public.

    United Mewa Khola Hydropower Limited is currently engaged in the development of its project titled “Mewa Khola Jalbidhyut Ayojana” situated in Taplejung District. This hydropower project is designed to generate 50 megawatts of power. The signing of the IPO Issue Management Agreement marks a significant step for United Mewa Khola Hydropower Limited as it progresses towards making its shares available to the public through the IPO managed by Citizens Capital Limited.

    United Modi Hydropower Limited (UMHL) has announced its intention to issue right shares in the ratio of 1:1 or 100% right shares, as per the decision made during the recent Board of Directors meeting on Mangsir 13. The proposal aims to release 100% right shares on the existing paid-up capital of Rs. 1.23 Arba, with the objective of securing funds for investment in its ongoing hydropower projects. If approved, this issuance will lead to an additional 12,305,000 units of right shares, causing the company’s paid-up capital to surge to Rs. 2.46 Arba. However, the issuance is contingent upon obtaining approvals from regulatory bodies, specifically the Electricity Regulatory Commission and the Securities Board of Nepal (SEBON), followed by endorsement at the upcoming Annual General Meeting (AGM) of the company. UMHL’s closing stock price stood at Rs. 184 in the latest trading session.

    United Ajod Insurance Limited, following the successful merger between United Insurance Company (Nepal) Limited and Ajod Insurance Limited, has listed a total of 1,90,45,680 shares on the Nepal Stock Exchange (NEPSE).

    The merger agreement was signed by UIC and AIL on Poush 27, 2079. The companies agreed on a swap ratio of 82.50:100, meaning that AIL shareholders’ number of shares would decrease by 17.5% in the newly merged company. Prior to the merger, AIL and UIC had respective share capitals of Rs. 1 Arba and Rs. 1.07 Arba. However, post-merger, the combined share capital of United Ajod Insurance Limited reached Rs. 1.90 Arba.

    Following the successful merger, UIC and AIL initiated joint transactions under the name “United Ajod Insurance Limited” on Jestha 14, 2080. The opening price range for the initial transactions was set at Rs. 489.49 per share. This marked the commencement of operations for the merged entity, which now operated as a unified entity under the name United Ajod Insurance Limited.

    In summary, the merger between United Insurance Company (Nepal) Limited and Ajod Insurance Limited has led to the listing of 1,90,45,680 shares of United Ajod Insurance Limited on NEPSE.
