    Terhathum Power Company Limited (TPC) has announced its 6th Annual General Meeting (AGM) scheduled for the 21st of Poush, 2080 (January 6, 2024). The meeting is slated to commence at 12:30 p.m. and will take place at the Company Register Office in Battisputali, Kathmandu.

    The key agendas for the AGM include the endorsement of the company’s annual report, approval of the auditor’s report for the fiscal year 2079/080, encompassing profit and loss statements, financial reports, and cash flow statements. Additionally, the meeting will address the appointment of auditors and the determination of their remuneration for the upcoming fiscal year 2080/81. The agenda also includes miscellaneous matters for discussion.

    In addition to the AGM proceedings, there is an agenda pertaining to the issuance of right shares at a ratio of 1:1 on the paid-up capital amounting to Rs. 40 Crores. The book closure date has been set for the 28th of Mangsir. Shareholders who maintain their positions before this date will be eligible to participate in the AGM and engage in the decision-making processes.

    Api Power Company Limited (API) has successfully listed 1,65,33,137 units of right shares on the Nepal Stock Exchange (NEPSE). The company had previously issued a 1:0.4 ratio right share to its shareholders, allowing them to apply for these shares from the 31st of Shrawan to the 19th of Bhadra, 2080. Out of the total right shares available, which amounted to 1,65,33,137 units, eligible shareholders submitted applications for 1,53,38,203 units. The allotment of shares was then carried out based on the received applications.

    Following the allotment, API conducted an auction for the remaining 11,94,934 units of unsubscribed right shares, which took place from the 17th to the 24th of Ashwin, 2080. Muktinath Capital served as the auction manager for this process. As of the latest update, API is trading at a Last Traded Price (LTP) of Rs. 168.

    Similarly, Multipurpose Finance Company Limited (MPFL) has listed 15,82,000 units of right shares on NEPSE. The company had earlier issued a 1:0.35 ratio right share to its shareholders, allowing applications from the 10th to the 31st of Bhadra, 2080. Out of the total right shares offered, eligible shareholders applied for 1,439,227 units, and the allotment was done accordingly.

    Subsequently, MPFL conducted an auction for the remaining 1,42,773 units of unsubscribed right shares, which took place from the 29th of Ashwin to the 13th of Kartik, 2080. Muktinath Capital served as the auction manager for this process as well. As of the latest update, MPFL is trading at an LTP of Rs. 278.

    The IPO allotment of Chirkhwa Hydro Power Limited has been successfully concluded at the offices of the issue manager, RBB Merchant Banking Limited in Kathmandu.

    Chirkhwa Hydro Power Limited had initially issued 8,59,300 unit IPO shares at a par value of Rs 100 for the general public from the 23rd to the 26th of Ashwin, 2080. Previously, the company had allocated 4,00,000 unit shares, equivalent to 10% of the issued capital, to project-affected locals in the Bhojpur District. However, only 2,04,700 units were allotted to valid applicants, leaving 1,95,300 unsubscribed units. These unsubscribed shares have now been combined with the 8,00,000 units (20% of the issued capital reserved for the general public), resulting in a total of 9,95,300 units available for the general public.

    Out of the 9,95,300 units, 80,000 units were already issued and allotted to Nepalese citizens working abroad, 40,000 units were designated for mutual funds, and 16,000 units were set aside for company employees. The remaining 8,59,300 units were open for the general public.

    The IPO received a remarkable response, with 11,31,936 valid applicants applying for a total of 1,21,36,760 units, oversubscribing the offering by more than 14.12 times. The allotment process involved 85,930 applicants being allocated 10 units each through a lottery system, while the remaining 10,46,006 applicants were not allotted any shares. Additionally, 40,000 units were allotted to mutual funds, and 16,000 units were designated for company employees.

    Notably, a total of 2,381 applicants who had applied for 32,700 units were disqualified. The IPO results are available through various channels, including CDSC IPO Result, MeroShare, and RBB Merchant Banking Limited.

    Chirkhwa Hydropower Limited, established in January 2009, is actively engaged in the development of a 4.7 MW Upper Chirkhwa Khola Hydropower Project in the Bhojpur district, Province-1 of Nepal. This project is categorized as a run-of-the-river (R-o-R) type and is being developed at a 40% probability of exceedance. The project’s budgeted cost is NPR 910 million, with funding in a 60:40 debt-equity ratio. The debt component of NPR 545 million is secured with Rastriya Banijya Bank Limited. The project has achieved approximately 90-95% progress as of mid-January 2023. Furthermore, ICRA Nepal has reaffirmed Chirkhwa Hydropower Limited’s issuer rating at [ICRANP-IR] BB-, signifying a moderate risk of default regarding the timely servicing of financial obligations.

    The initial public offering (IPO) allotment for Chirkhwa Hydro Power Limited is scheduled for this Thursday, falling on the 16th of Kartik, 2080, in accordance with the Nepali calendar. The allotment event will take place at the premises of the issue manager, RBB Merchant Banking Limited, located in Kathmandu, commencing at 1 PM.

    Out of the total offering of 9,95,300 units, 80,000 units have already been assigned to Nepalese citizens working abroad, 40,000 units were specifically reserved for mutual funds, and an additional 16,000 units were set aside for the company’s employees. The remaining 8,59,300 units were made available to the general public at a par value of Rs. 100.

    Data from the Central Depository System and Clearing Limited (CDSC) reveals that 873,180 applicants submitted applications for a combined total of 95,68,430 units, equivalent to a value of Rs. 95.69 Crores, as of the closing day. Consequently, the IPO has been oversubscribed by a remarkable 11.14 times.

    Analyzing the data, it is evident that only 85,930 fortunate applicants will secure ownership of the company.

    ICRA Nepal has reaffirmed the issuer rating of [ICRANP-IR] BB- (pronounced ICRA NP issuer rating double B minus) for Chirkhwa Hydropower Limited. Companies with this rating are assessed to carry a moderate risk of default when it comes to meeting their financial obligations promptly.

    Maha Prasad Adhikari, the Governor of the Nepal Rastra Bank (NRB), has emphasized that Nepal’s trade deficit could be effectively addressed if the country could export power worth Rs 130 billion annually. In a meeting with the office-bearers of the Independent Power Producers’ Association, Nepal (IPPAN), Governor Adhikari highlighted the potential of power export as a means to reduce the trade deficit.

    Governor Adhikari pledged that the Nepal Rastra Bank is committed to facilitating the development of the hydropower sector in the country. During the meeting, IPPAN President Ganesh Karki proposed a requirement for banks and financial institutions to allocate 20% of their total investments to the energy sector. Governor Adhikari responded by expressing confidence in banks’ ability to invest, even if Nepal were to generate 20,000 megawatts of electricity in the next decade.

    IPPAN, however, stated that they require around Rs 555 billion within five years to develop projects for generating approximately 3,700 megawatts of power. In a 10-year timeframe, this requirement increases to about Rs 2,055 billion, assuming power export agreements with India are considered. The figure rises to over Rs 3,750 billion if an additional 25,000 megawatts of electricity, as per the Energy Decade declaration, were to be produced.

    IPPAN requested that the NRB’s loan provision, which currently allows projects producing over 200 megawatts to receive loans with just a 1% addition to the base interest rate, be extended to all hydropower projects. They also highlighted banks’ reluctance to invest further in hydropower due to NRB directives, which prevent the distribution of interest income during the construction phase as dividends.

    Furthermore, IPPAN called for the continued sharing of bonuses generated during the construction phase and urged the government to facilitate the introduction of new financial instruments like green bonds, climate bonds, or sovereign bonds from international markets. They sought the NRB’s support for refinancing in clean energy due to high interest rates imposed by financial institutions in the energy sector.

    In response, the NRB governor acknowledged that matters related to bonds fall under the Finance Ministry’s jurisdiction but expressed the central government’s willingness to facilitate such initiatives. IPPAN also urged the NRB to introduce provisions allowing banks and financial institutions to invest in energy production as capital and requested eased rules and provisions related to investment, bonuses, and withdrawal of investments for international investors to achieve their ambitious goal of generating 25,000 megawatts of electricity and importing 15,000 megawatts in the next decade.

    The IPPAN delegation included Vice President Mohan Kumar Dangi and former President Shailendra Guragain, among others, while the NRB meeting included Deputy Governor Bam Bahadur Mishra, executive directors Dr. Gunakar Bhatta, and Dev Kumar Dhakal.

    In this rights offering, SPDL is issuing 50% right shares, valued at Rs. 40.32 Crores, by issuing 4,032,875 units of right shares to its existing shareholders. Currently, the company’s paid-up capital stands at Rs. 80,65,75,000. Following the adjustment of the proposed right shares, the paid-up capital of the company will increase to Rs. 120.98 crores.

    Earlier, SPDL had announced the book closure date for the rights offering, which was Shrawan 12. Shareholders who held shares before that date are eligible to apply for the rights offering.

    The Securities Board of Nepal (SEBON) granted permission for the issuance of these right shares on Ashad 6, following the company’s formal application submitted on the 6th of Chaitra.
