    In an event held at Sundhara, Kathmandu, Thulo Khola Hydropower Limited and Citizens Capital Limited signed an agreement for the management of their Initial Public Offering (IPO). The agreement was formalized by Mrs. Shweta Adhikari Panth, Director of Thulo Khola Hydropower Limited, and Mr. Sabir Bade Shrestha, CEO of Citizens Capital Limited.

    Under this agreement, Citizens Capital Limited, a subsidiary of Citizens Bank International Limited, will oversee the IPO process for Thulo Khola Hydropower Limited. The main objective of the IPO is to issue ordinary shares to local residents who are affected by the project, as well as to the general public.

    Upper Tamakoshi Hydropower Limited has released an offer letter to introduce its 100% rights shares. As per the publicly disclosed offer letter, the company plans to accept applications for these right shares at a 1:1 ratio, or 100%, from the 18th of Bhadra to the 7th of Ashwin, 2080.

    The hydropower firm intends to distribute 105,900,000 units of right shares, totaling Rs. 10.59 Arba, to its existing shareholders. This issuance will lead to a subsequent increase in the company’s paid-up capital to Rs. 21.18 Arba following the adjustment of the proposed right shares.

    Earlier, the company had offered 800,000 unit shares valued at Rs. 8 crores to locals affected by the project in Dolakha District. However, only 183,380 units (22.92%) found valid takers. Consequently, the remaining 616,620 unsubscribed units from the project-affected locals are combined with 2,000,000 units (25% of the total issued capital, earmarked for the general public), resulting in a total of 2,616,620 units available for the general public.

    Unique Nepal Laghubitta Bittiya Sanstha Limited (UNLB) has recently announced its plan to issue a Follow on Public Offer (FPO) to the general public. The company aims to release 3,79,425 unit shares with a face value of Rs. 100 starting from the 11th of Jestha, 2080. The objective of this FPO is to collect Rs. 3.79 crore. The offer will be open until the 16th of Jestha, and if not fully subscribed, it may be extended until the 25th of Jestha, 2080.

    Currently, the company’s paid-up capital stands at Rs. 11.06 crores, with 94.01% of shares (10,40,025 units) held by the promoters and 5.99% (66,300 units) held by the public shareholders. However, as per the regulations of the Banks and Financial Institutions Act of 2073 and the NRB, at least 30% of the issued capital must be retained by the public shareholders. To comply with this requirement, the company plans to issue 3,79,425 units of FPO shares to the general public. Following the FPO, the promoter-to-public share structure will change from 94:6 to 70:30.

    It is worth noting that Unique Nepal Laghubitta had initially intended to issue an IPO for 2.70 lakh shares. However, due to a successful merger with Ghodighoda Laghubitta, the two companies commenced their joint operation on the 30th of Poush, 2078, under the name of Unique Nepal Laghubitta Bittiya Sanstha Limited. Since Ghodighoda Laghubitta was already a publicly listed company, the merged entity has opted to issue an FPO to adjust its shareholding ratio.

    Muktinath Capital Limited has been appointed as the issue manager for the FPO issuance. Interested individuals can apply for a minimum of 10 units and a maximum of 1000 units. Following the issuance of the mentioned FPO shares, the company’s paid-up capital will increase to Rs. 14.85 crores.

    From the 25th Poush to the 09th Magh of 2079, Everest Bank Limited (EBL) issued 20,00,000 units of “7.5% Everest Bank Limited Urja Rinpatra (Energy Bond) 2089.”

    From the overall offer of 20 lakh units, 12 lakh units were subscribed through private placement, while the remaining 8 lakh units worth Rs. 80 crores were open for public issue, with 5% reserved for mutual funds.

    As the name implies, the “7.5% Everest Bank Limited Urja Rinpatra (Energy Bond) 2089” would provide unit holders with 7.5% yearly yields till maturity, which is in the year 2089 BS (10 years).
