    Arun Valley Hydropower Development Company Limited (AHPC) recently completed the allotment of its right shares at a 1:1 ratio on the 27th of Chaitra, 2080. Following the allotment process, shares were distributed to eligible applicants, while those who were not allotted shares will receive their refunds starting from the 30th of Chaitra, 2080.

    During the issuance period, which ran from the 17th of Falgun to the 7th of Chaitra, 2080, a total of 1,86,79,626 units of right shares were made available. The company declared the book closure date for its rights offering on Magh 15, ensuring that investors who held shares before this date were eligible to apply for the additional shares.

    Out of the total issuance, 1,66,87,492 shares were allotted to 33,714 valid applicants. However, there were 19,92,134 (10.66%) shares that remained unclaimed by eligible investors. These unclaimed shares will soon be auctioned off to the general public and institutions.

    Overall, the completion of the right shares allotment signifies an important step for AHPC in its efforts to raise capital and further its hydropower development initiatives.

    Arun Valley Hydropower Development Company Limited (AHPC) has received the final approval from the Electricity Regulatory Commission to issue right shares to its shareholders at a ratio of 1:1. This decision was made during the Special General Meeting (SGM) held on Ashad 07, where 100% rights shares were endorsed for distribution among the shareholders. The proposal for issuing these right shares was initially put forward during the Board of Directors meeting held on Baisakh 06.

    The approved plan entails issuing a total of 18,679,626 right shares with a par value of Rs. 100 each, amounting to a total value of Rs. 1.86 Arba. Out of this amount, AHPC intends to invest 50% of the issued right shares, equivalent to 9,339,813 unit right shares valued at Rs. 93.39 crore, in the Likhu Khola Hydropower Project (30 MW) developed by PK Hydropower Pvt. Ltd. The remaining 9,339,813 unit shares, also valued at Rs. 93.39 crore, will be utilized to repay the loan obtained by AHPC for the Kabeli ‘B’-1 Cascade Hydropower Project in Panchthar.

    It should be noted that the issuance of these right shares is subject to the approval of the Securities Board of Nepal (SEBON). AHPC will proceed with issuing the right shares to its shareholders once the necessary approval is obtained. As of the time of writing, AHPC’s Last Traded Price (LTP) stands at Rs. 263.90.

This means that each existing shareholder will have the opportunity to purchase one additional share for every share they currently hold.

    The decision to issue right shares was proposed during a board of directors meeting. AHPC plans to offer a total of 18,679,626 right shares, with a par value of Rs. 100 each, amounting to a value of Rs. 1.86 Arba. Out of this, half of the funds raised, approximately Rs. 93.39 crore, will be invested in the Likhu Khola Hydropower Project (30 MW) developed by PK Hydropower Pvt. Ltd. The remaining amount will be used to repay a loan taken by AHPC for the Kabeli ‘B’-1 Cascade Hydropower Project in Panchthar.

    Arun Valley Hydropower Development Company Limited (AHPC) has recently given out 8% bonus shares to its shareholders. The bonus shares were distributed directly to the DEMAT accounts of the shareholders. AHPC has also encouraged its shareholders to dematerialize their shares. Dematerialization refers to the process of converting physical shares into electronic format.

    During the 25th Annual General Meeting (AGM) held on 27th Magh for the fiscal year 2078/79, AHPC approved an 8.421% dividend worth Rs. 21.11 Crores. The board of directors of AHPC, in a meeting held on Mangsir 16, decided to distribute the dividend to its shareholders based on the paid-up capital of Rs. 1.72 Arba. The dividend comprised of 8% bonus shares worth Rs. 13,83,67,600 and 0.421% cash dividend (for tax purposes) worth Rs. 72,81,595. It is important to note that the bonus shares have already been listed in the Nepal Stock Exchange (NEPSE).

    In order to receive the bonus shares and the cash dividend, shareholders of AHPC will need to dematerialize their shares at Muktinath Capital Limited, which is located in Naxal, Kathmandu. This is because the bonus shares have already been issued in electronic form, so shareholders will need to have DEMAT accounts to receive them. The company has urged its shareholders to dematerialize their shares to ensure a smooth and efficient transfer of shares and dividends.

    The Vijaya Laghubitta Bittiya Sanstha Limited (VLBS) transaction has been halted, according to the official notice of the Nepal Stock Exchange (NEPSE), since the business declared dividends to be given to shareholders without first receiving authorisation from NEPSE.
