    RIDI Initiates Auction of Unclaimed Right Shares: Opportunity for Public Participation


    Ridi Power Company Limited (RIDI) has initiated the auction of the unclaimed portion of its right shares starting from the 29th of Chaitra, 2080, with the auction set to conclude on the 9th of Baisakh, 2081. The company aims to sell 11,35,657 units of ordinary right shares, representing the unclaimed segment from its recent rights offering.

    During the rights offering period, which ran from the 18th of Falgun to the 8th of Chaitra, 2080, RIDI issued shares at a ratio of 1:0.50 to its existing shareholders. However, out of the total right shares issued, only 66,08,849 units (85.34%) were allotted to eligible shareholders, indicating that 14.66% of the shares remained unclaimed.

    Therefore, the company has decided to make these unsold right shares available to the general public starting from today. Individuals and institutions alike have the opportunity to participate in the auction and bid for these shares.

    Muktinath Capital Limited has been appointed as the issue manager for this right share auction. The minimum bid rate for the auction is set at Rs. 100, with a minimum bid quantity of 100 units. While bidders have the option to bid for the entire issue, they must adhere to the regulatory board’s guidelines to ensure that the specified quantity of shares per entity is not exceeded.

    Garima Bikas Bank Limited (GBBL), formerly known as Subhechha Bikas Bank Limited, Nilgiri Bikas Bank Limited, and Sahara Bikas Bank Limited, has issued a notice urging its shareholders to collect unclaimed dividends.

    According to the notice, some investors have yet to collect dividends for the fiscal year 2074/75. These dividends were due in the fiscal year 2074/75 when the bank distributed cash dividends to its shareholders.

    The bank has appealed to investors who have not yet claimed their share of dividends to visit NIMB Ace Capital Limited, Lazimpat, Kathmandu, with valid identification within the next 35 days to claim their dividends.

    As of the latest update, GBBL has a Last Traded Price (LTP) of Rs. 369.00, reflecting its current market value.

    The insurance company held its 30th Annual General Meeting (AGM) on the 25th of Poush, 2080. During the AGM, a 15% dividend for the fiscal year 2079/80 was approved. In a board meeting on the same day, it was decided to distribute dividends on the paid-up capital of Rs. 2.30 Arba. This includes 8.63% bonus shares valued at Rs. 19.86 crore and 6.37% cash dividend (inclusive of tax) valued at Rs. 14.66 crore. The same cash dividends are now being distributed.

    Dhaulagiri Laghubitta Bittiya Sanstha Limited (DLBS) has recently declared the cancellation of dividend distribution for the Fiscal Year 2079/80. Initially, during the 8th board of directors meeting on Kartik 22, the company had proposed a distribution plan of 14.25% bonus shares and 0.25% cash dividend (for tax purposes) from the paid-up capital, which amounted to Rs. 10.31 crores. However, the company has now decided not to proceed with the dividend distribution, revoking the earlier announcement of bonus shares worth Rs. 1,89,66,750 and a cash dividend for tax purposes amounting to Rs. 9,98,250.

    NEPSE, the Nepal Stock Exchange Limited, has decided to end the suspension on the trading of securities for Muktinath Bikas Bank Limited (MNBBL). This follows a temporary pause resulting from MNBBL’s delayed submission of information related to the dividend declaration for the fiscal year 2079/80.

    In an official statement, NEPSE disclosed that MNBBL failed to provide timely details about the dividend declaration, a requirement stipulated by the Securities Listing Regulations, 2075. These regulations mandate that companies communicate notices, information, and decisions affecting securities prices to NEPSE on or before the day of business commencement.

    The decision regarding the dividend declaration for the fiscal year 2079/80 was made during MNBBL’s board meeting on the 5th of Poush. However, the information about this decision reached NEPSE a day later, on the 6th of Poush, leading to an immediate suspension of MNBBL securities trading. NEPSE sought clarification from MNBBL within a three-day timeframe.

    MNBBL responded to NEPSE’s inquiry, explaining that the delay was unintentional and was a result of coincidental timing. They clarified that the discussion on the dividend took place during the meeting at 4:30 P.M. on the 5th of Poush.

    Despite MNBBL’s clarification, NEPSE, in a decision dated 2080/09/11, issued a warning to MNBBL and directed the resumption of the suspended securities transactions. The warning underscores MNBBL’s obligation to fully comply with the Securities Listing Regulations, 2075, and its associated terms.

    On the 28th of Mangsir, 2080, Upper Tamakoshi Hydropower Limited (UPPER) successfully allocated 8,88,80,470 units of right shares to its shareholders. The company initiated the refund process for non-allotted investors starting from the 3rd of Poush, 2080.

    Upper Tamakoshi Hydropower Limited had conducted a 100% right shares offering, open from the 18th of Bhadra to the 22nd of Ashwin, 2080. During this offering, the hydropower company issued 10,59,00,000 units of right shares, amounting to Rs. 10.59 Arba, exclusively for its existing shareholders.

    As per the recent notice, only 8,88,80,470 units of the total right shares issued were allotted to eligible shareholders. The remaining 1,70,19,530 units of right shares will be subsequently made available for purchase through an auction. Sunrise Capital Limited served as the appointed issue manager for this process.
