    Asian Life Insurance Company Limited (ALICL) has scheduled its 16th Annual General Meeting (AGM) for the 18th of Falgun, 2080. The meeting will take place at Hotel Classic Plaza in Simara, Bara, starting at 11:30 AM on that day.

    Among the agenda items, the AGM will approve the issuance of right shares and declare an 8.1578% dividend for the fiscal year 2079/80. In a board meeting held on Magh 12, the board of directors decided to distribute 7.75% bonus shares and a 0.4078% cash dividend (for tax purposes). The bonus shares are valued at Rs. 24.45 crores, while the cash dividend amounts to slightly over Rs. 1.28 crores. ALICL’s current paid-up capital stands at Rs. 3.15 billion.

    Upper Tamakoshi Hydropower Limited (UPPER) is currently conducting an auction for its unclaimed right shares, which commenced on the 13th of Poush and is scheduled to conclude on the 29th of Poush, 2080. The auction involves 1,70,19,530 units of ordinary right shares, representing the remaining portion of the rights offering issued by the company. The rights offering, in a 1:1 ratio, occurred between the 18th of Bhadra and the 22nd of Ashwin, 2080, where a total of 105,900,000 shares were issued. Eligible shareholders were allotted 8,88,80,470 shares, leaving 1,70,19,530 shares unclaimed. The ongoing auction is managed by Sunrise Capital Limited.

    The minimum bid rate for the auction is set at Rs. 100, with a minimum bid quantity of 100 units and a maximum bid quantity of 5,00,000 units. After the adjustment of the proposed right share, UPPER’s paid-up capital will increase to Rs. 21.18 Arba.

    In its recent financial report for the first quarter of the fiscal year 2080/81, UPPER reported a net profit of Rs. 1.00 Arba, resulting in an annualized earnings per share of Rs. 25.20. The net worth of the company stands at Rs. 60.97, with Rs. 73.01 Arba in long-term loans and Rs. 3.04 Arba in short-term loans.

    Upper Tamakoshi Hydropower Limited closed at Rs. 198 per share on January 9th, with a 52-week high of Rs. 590 and a low of Rs. 190. Established in 2007 by the Nepal Electricity Authority, UPPER is a key player in the hydropower sector, focusing on the Upper Tamakoshi Hydroelectric Project.

    The decision to issue 100% right shares aims to strengthen UPPER’s financial position amid challenges faced during the construction of the Upper Tamakoshi Hydroelectric Project. Unforeseen circumstances and a prolonged construction period led to increased costs, prompting the issuance of right shares to address rising interest expenses. The issuance was approved during the 14th Annual General Meeting in 2079, aligning with the company’s commitment to financial restructuring and stability.

    The construction phase of the project initially had a loan-to-equity ratio of 70% to 30%, but the evolving financial landscape and increased costs necessitated a shift in this ratio. The proposed right shares will contribute to stabilizing the company’s financial health and facilitate further growth opportunities. UPPER aims to fulfill its financial requirements, ensuring it remains well-positioned to navigate future challenges and contribute significantly to Nepal’s energy sector.

    Regarding the company’s capital across fiscal years, after the adjustment of 100% right shares, UPPER’s authorized capital for 2080/81 stands at Rs. 30 Arba, with issued and paid-up capital also at Rs. 21.18 Arba. The Mathillo Tamakoshi Jalbidhyut Yojana, a run-of-river type project, is the flagship project with a maximum output of 456 MW.

    The management team, led by CEO Mr. Mohan Prasad Gautam, oversees various aspects of the company’s operations. The board of directors plays a crucial role in guiding UPPER’s strategic decisions.

    CDSC, in partnership with associated firms, has begun informing investors about the launch of rights shares through mobile messages, starting today (Bhadra 12th), to meet investor demands. The first batch of notifications has been sent to 38,327 out of 70,000 investors of Synergy Power Development Limited (SPDL). CDSC plans to send messages to the rest as well. However, the process is hindered by incorrect contact numbers (some not nine-digit) and even landline numbers provided by certain investors, posing difficulties in message delivery.

    In the financial year 2079/80, the Securities Board of Nepal (SEBON) achieved a remarkable milestone by approving initial public offerings (IPOs) worth over 22 billion rupees. This surpasses the previous record set in the financial year 2077/78, when SEBON allowed IPOs worth 15 billion 18 crores. Chairman Ramesh Hamal led the effort, breaking the previous record set during Bhishma Raj Dhungana’s tenure.

    Barun Hydropower Company Limited (BARUN) has announced its plans to hold a Special General Meeting (SGM) on the 14th of Shrawan, 2080. The meeting is scheduled to take place at Lord Party Venue in Dhumbarahi and will commence at 1 pm.

    During the SGM, BARUN will propose a 1:1 ratio rights offering, equivalent to 100% of the company’s paid-up capital, which currently stands at Rs. 53.58 Crores. It is important to note that the issuance of these right shares is subject to approval from the regulatory bodies. If approved, the issuance will result in an increase in the company’s paid-up capital to Rs. 1.07 Arba.

    Considering the potential increase in the company’s capital after the issuance of the right shares, the SGM will also address the need for amending relevant sections of the Articles of Association. The purpose of these amendments is to align the Articles of Association with the updated capital structure. Furthermore, the shareholders will be asked to grant full authority to the Board of Directors (BoDs) to carry out the necessary work related to the amendments, as guided by the regulatory board.

    It should be noted that the book closure date for the SGM is set for Shrawan 05. Shareholders who maintain their ownership before this date will be eligible to attend the meeting and participate in the decision-making process.

    Arun Valley Hydropower Development Company Limited (AHPC) has received the final approval from the Electricity Regulatory Commission to issue right shares to its shareholders at a ratio of 1:1. This decision was made during the Special General Meeting (SGM) held on Ashad 07, where 100% rights shares were endorsed for distribution among the shareholders. The proposal for issuing these right shares was initially put forward during the Board of Directors meeting held on Baisakh 06.

    The approved plan entails issuing a total of 18,679,626 right shares with a par value of Rs. 100 each, amounting to a total value of Rs. 1.86 Arba. Out of this amount, AHPC intends to invest 50% of the issued right shares, equivalent to 9,339,813 unit right shares valued at Rs. 93.39 crore, in the Likhu Khola Hydropower Project (30 MW) developed by PK Hydropower Pvt. Ltd. The remaining 9,339,813 unit shares, also valued at Rs. 93.39 crore, will be utilized to repay the loan obtained by AHPC for the Kabeli ‘B’-1 Cascade Hydropower Project in Panchthar.

    It should be noted that the issuance of these right shares is subject to the approval of the Securities Board of Nepal (SEBON). AHPC will proceed with issuing the right shares to its shareholders once the necessary approval is obtained. As of the time of writing, AHPC’s Last Traded Price (LTP) stands at Rs. 263.90.

    The Securities Board of Nepal (SEBON) has given its approval for Upper Tamakoshi Hydropower Limited (UPPER) to issue 100% right shares. The company plans to issue shares worth NPR 10.59 Arba, equivalent to 105,900,000 units of right shares on a 1:1 basis to its existing shareholders. The application for this proposal was submitted to SEBON on Falgun 18, 2079.

    Once the proposed right shares are adjusted, the paid-up capital of Upper Tamakoshi Hydropower Limited will increase to NPR 21.18 Arba. Sunrise Capital has been appointed as the issue manager for this process.

    Upper Tamakoshi Hydropower Limited operates the 456-MW Upper Tamakoshi Hydroelectric Project in the Dolkha district of Bagmati Province, Nepal. As of mid-July 2022, the company’s paid-up capital stands at NPR 10,590 million, with 51% held by promoters and 49% held by the public. The project, which is the largest operational project in Nepal, is of the peaking run-of-the-river (PROR) type, with a peaking capacity of four hours, developed at a 32% probability of exceedance (Q32).
