    Investors must maintain a minimum balance of at least Rs 18,045 in their bank accounts; otherwise, the application will be automatically canceled. Sarbottam Cement’s IPO involves the issuance of 60 lakh units of shares, constituting 12.9033% of the total issued capital of Rs 4.65 arba. Out of this, 40% (24 lakh units) is allocated for qualified institutional investors, and the remaining 60% (36 lakh units) is available to the general public, including employees, foreign migrant workers, mutual fund schemes, and project-affected local people.

    Sarbottam Cement Limited has initiated its Initial Public Offering (IPO) through the book-building process exclusively for Qualified Institutional Investors (QIIs), starting on the 6th of Mangsir. In this initial phase, the company aims to issue 24,00,000 unit shares to QIIs, with the IPO closing on the 10th of Mangsir, 2080. The company has specified this timeframe for QIIs to participate in the bidding process.

    The company’s total issued capital is Rs. 4.65 Arba, of which 12.9033% (60,00,000 unit shares) will be offered to the public, comprising Qualified Institutional Investors (QIIs) and the general public. Out of this, 40% (24,00,000 shares) will be allocated to Qualified Institutional Investors from the start of the IPO. The preliminary bid submitted by QIIs on 24th Asad suggested a price range of Rs. 501 to Rs. 751.50 per share. However, after a price revision, QIIs can now apply for the IPO with a maximum bid of Rs. 601.50 and a minimum of Rs. 401.

    Upon the issuance of IPO shares, they will be traded at the determined cut-off price, which may vary from the base price of Rs. 501.25 based on investor demand. Following this, the general public will receive shares at a 10% discounted price from the company, calculated based on the minimum cut-off rate of QIIs. For instance, if the QII cut-off rate is Rs. 401, the issue rate for the general public’s 36 lakh units would be 10% less, i.e., Rs. 360.9 per share.

    Global IME Capital Limited is overseeing the comprehensive issuance process for the cement company. ICRA Nepal has reaffirmed the issuer rating of [ICRANP-IR] BBB+ to Sarbottam Cement Limited, along with a long-term rating of [ICRANP] LBBB+ and a short-term rating of [ICRANP] A2 for Sarbottam’s bank loan limits.

    Established in October 2010 as a private limited company and converted into a public limited company in July 2019, Sarbottam Cement Limited is engaged in clinker and cement production and sales. The majority of its shareholding is held by the Saurabh Group, a prominent business entity in Nepal.     SONA has a total of 30,750,500 shares listed on the Nepal Stock Exchange (NEPSE). Among these, 12,165,680 shares were offered to the general public at a premium of Rs. 237.58 (consisting of Rs. 100 face value and Rs. 137.58 premium), while 1,34,520 shares were allocated to project-affected locals at Rs. 225 per share (comprising Rs. 100 face value and Rs. 125 premium).

    The stock began trading at Rs. 350 on Sunday, with an opening range of Rs. 142.01 to Rs. 426.03. However, it hit a 10% negative circuit breaker on both the first day and Monday, resulting in a substantial decline of about 27.08% from its opening price.

    In a similar vein, Ghorahi Cement Industry Limited (GCIL) encountered a comparable situation in the secondary market. The company’s IPO was launched at a premium price of Rs. 435 per share, but in subsequent trading days, its shares consistently traded below the issued price.

    As of the most recent update, GCIL’s shares are trading at Rs. 390, marking a significant decrease of approximately 13.33% from its IPO price.     The 11 companies that received licenses are:

    • Money World Share Exchange Pvt. Ltd, Putalisadak, Kathmandu
    • Machhapuchchhre Securities Limited, Lazimpat, Kathmandu
    • K.B.L Securities Limited, Tangal, Kathmandu
    • Kalash Stock Market Pvt. Ltd, Bhddhanagar, Kathmandu

    With the issuance of these licenses, the total number of securities dealers in Nepal has increased to 69. Of these, 50 are full-time securities brokers and 19 are limited-time securities brokers.

    The Sebon has been issuing licenses to new securities dealers in order to expand the reach of the stock market and to increase the number of investors. The board has also been taking steps to improve the regulatory framework for the securities market.

    Modi Energy Limited is wrapping up its IPO issuance of 55,59,420 unit shares worth Rs. 100 each to the general public from today i.e. May 7, 2023. The issue was opened on May 1, 2023. However, the IPO issue is already oversubscribed by 2.14 times so far as 1,062,761 applicants have applied for a total of 11,915,310 units.

    The company had issued 29,00,000 unit shares worth Rs. 29 crores to the project-affected locals of Parbat District out of which only 804,390 units or 27.73% were allotted to valid applicants. Thus, the remaining 20,95,610 units of unsubscribed shares of project-affected locals are added to 43,50,000 units reserved for the general public to make a total of 64,45,610 units for the general public.

    Sunrise Capital Limited is appointed as the issue manager for the IPO issuance. Applications can be placed for a minimum of 10 units and a maximum of 100,000 units. The IPO shares are for the Hydroelectric Project (HEP) of the 20 MW run-of-river, Tallo Modi Khola Hydropower Project (TMKHP) constructed under the “BOOT” (Build, Own, Operate, and Transfer) model in the Parbat district of Nepal. It came into operation on September 30, 2021.

    The company has been promoted by institutional promoters and individual businessmen with long experience in various sectors for setting up the hydroelectric project. Overall, 75% of shares are of the promoter shareholders in the company. CARE Ratings Nepal Limited (CRNL) has revised the Issuer Rating of Modi Energy Limited to “CARE-NP D (Is)” from “CARENP BB+ (Is)”. Issuers with this rating are considered to be in default or are expected to be in default soon.

    The IPO shares have already attracted significant interest from the public, and it remains to be seen how the company performs in the coming years.
