    Promoter Share Auctions Initiated by Suryodaya Womi and Asha Laghubitta: Opportunities for Existing Shareholders


    The current promoter of Suryodaya Womi Laghubitta Bittiya Sanstha Limited (SWMF) has initiated an auction for 60,617 units of shares, targeting existing promoter shareholders. Govinda Sharma and Saraswati Joshi plan to sell 31,266 and 29,351 units, respectively. Interested parties are invited to bid within 35 days from the notice’s publication date. Bids can be submitted at the corporate office in Lalitpur or Kumari Capital Limited in Kathmandu. If no bids are received within the specified timeframe, the shares will be opened for auction to the general public. SWMF closed at Rs. 562, and SWMFPO has an LTP of Rs. 225.55 as of October 8, 2023.

    In a similar move, the existing promoter of Asha Laghubitta Bittiya Sanstha Limited (ALBSL) is auctioning 87,014 units of shares to its current promoter shareholders. The auction, open from 11th Mangsir, 2080, invites interested shareholders to bid within 35 days from the notice’s publication. Bids should be submitted at the company’s central office in Kavrepalanchok. If no bids are received from existing shareholders within the specified timeframe, the shares will later be auctioned to the general public or institutions. ALBSL currently has an LTP of Rs. 600, while ALBSLP has an LTP of Rs. 323.75 as of November 2, 2023.

    Asha Laghubitta Bittiya Sanstha Limited (ALBSL) has successfully acquired Rastra Utthan Laghubitta Bittiya Sanstha Limited (RULB) and listed an additional 2,600,000 shares on the Nepal Stock Exchange (NEPSE). This acquisition was based on a 1:1 swap ratio, and the companies finalized the deal with a Memorandum of Understanding (MoU) on March 29, 2079. Before the acquisition, RULB had 2,600,000 listed shares, while ALBSL had 3,816,161 shares. The combined entity now has a total of 6,416,161 shares, equivalent to Rs 64.16 Crores in paid-up capital.

    Following the convening of its 6th Annual General Meeting on 11th Chaitra, Asha Laghubitta Bittiya Sanstha Limited (ALBSL) has listed 4,77,020 unit bonus shares on the Nepal Stock Exchange (NEPSE). The AGM had approved a 15% dividend for the fiscal year 2078/79, with the board of directors deciding to distribute 14.2857% bonus shares and 0.7143% cash dividend (for tax purposes) based on the paid-up capital of Rs. 33.39 Crores. The bonus shares have now been officially listed on NEPSE, and as of the latest update, ALBSL is trading at an Last Traded Price (LTP) of Rs. 670.

    After a successful merger between Siddhartha Insurance Limited (SIL) and Premier Insurance Company (Nepal) Limited (PIC), 28,065,499 shares of Siddhartha Premier Insurance Limited (SPIL) were listed on NEPSE.

    On the 27th of Ashad, 2079, SIL and PIC inked a merger agreement. The corporation had agreed to a merger with a swap ratio of 1:1. SIL’s paid-up capital was Rs. 1,403,920,000. PIC’s paid-up capital was Rs. 1,402,629,900 at the time. The newly combined firm “Siddhartha Premier Insurance Ltd” has a total paid-up capital of Rs. 2.8 Arba.Following a successful merger, SIL and PIC began the joint transaction as Siddhartha Premier Insurance Limited (SPIL) on Falgun 17, 2079. As a result, the listed shares will begin trading under the ticker “SPIL.”

    The dividend proposal for the fiscal year 2078/79 of Asha Laghubitta Bittiya Sanstha Limited (ALBSL) has been revised.

    The company had previously proposed a 20% bonus share and 1.0526% cash dividend on its Rs. 33.39 crore paid-up capital. The bonus shares were worth slightly more than Rs. 6.67 crores, while the cash dividend was worth slightly more than Rs. 35.14 lakhs.

    On 2nd Ashad, 2079, Global IME Bank Limited (GBIME) and Bank of Kathmandu Limited (BOKL) signed a merger agreement and agreed to a 1: 1 share swap ratio for the merger. As a result of the merger, the additional shares are now listed in NEPSE. After the merger, GBIME’s total listed shares were 245,096,261 and BOKL’s were 112,614,337.17, for a total of 357,710,597 unit shares.

    For the fiscal year 2078/79, Asha Laghubitta Bittiya Sanstha Limited (ALBSL) has recommended a 21.0526% dividend of Rs. 7.02 Crores.

    The board of directors agreed on March 23 to disburse the dividend from the paid-up capital of Rs. 33.39 crores. A 20% bonus share and a cash dividend of 1.0526% (for tax purposes) have been suggested. Thus, the bonus shares are worth little more than Rs. 6.67 crores, while the cash dividend is worth slightly more than Rs. 35.14 lakhs.

    The dividend will be paid only after clearance from the central bank and approval from the company’s next AGM. ALBSL currently has an LTP of Rs. 996.
