    The final steps for the merger between Nerude Laghubitta Bittiya Sanstha Limited (NLBBL) and Mirmire Laghubitta Bittiya Sanstha Limited (MMFDB) have recently been concluded. In accordance with Section 9 (3) of the Merger and Acquisition Directive 2079 Act, the Nepal Stock Exchange (NEPSE) has issued a circular, officially suspending share transactions of the company as outlined in Section 9 (3) of the Directory 2079.

    The merger agreement between NLBBL and MMFDB, sealed at a swap ratio of 1:1, has determined the formation of a new entity named “Nerude Mirmire Laghubitta Bittiya Sanstha Limited.” This new company is slated to commence joint operations on Falgun 30, marking the beginning of a consolidated business approach.

    Currently, NLBBL holds a paid-up capital of Rs. 73.20 Crores, while MMFDB’s paid-up capital stands at Rs. 66.57 Crores. The merger signifies a strategic combination of financial strengths and resources from both entities, aiming to enhance their overall market position and operational capabilities.

    In the current scenario, NLBBL and MMFDB are valued at Rs. 595.00 and Rs. 580.00, respectively, based on their Last Traded Prices (LTP). This reflects the market’s anticipation and response to the forthcoming merger, showcasing potential implications for the stock values of the involved entities.

    The Nepal Stock Exchange Limited (NEPSE) encountered a rapid surge, witnessing a significant 4.04% increase within the initial three minutes of the market opening today, reaching a level of 2,039.60 points. This substantial rise prompted NEPSE to implement a temporary suspension of its operations. The total turnover during this brief period amounted to 14.8 Crore. The market is scheduled to resume at 11:23 AM.

    NEPSE employs an Index-based Circuit Breaker system to manage extreme market movements, with triggers set at 4%, 5%, and 6% in either direction. These circuit breakers are designed to instigate trading halts across all equities, serving to maintain stability and prevent excessive volatility.

    Specifically, a 4% movement in either direction results in a 20-minute trading halt if it occurs during the first hour of trading (before 12:00 hours). However, if this movement takes place after 12:00 hours, there will be no trading halt, and normal market operations will continue.

    A 5% movement triggers a 40-minute trading halt if it occurs before 13:00 hours. In case the movement happens after 13:00 hours, there will be no trading halt at this level, and the market will resume its trading activities.

    A 6% movement, in either direction, leads to a complete trading halt for the remainder of the day. These measures are in place to ensure a systematic approach to handling market fluctuations and safeguarding against extreme volatility.

    Similarly, Tejabi gold is available today at Rs. 1,18,450 per tola, reflecting a notable increase of Rs. 600 from its previous price of Rs. 1,17,850 per tola. Additionally, the silver market has observed a slight uptick, with the current rate standing at Rs. 1,390 per tola, as opposed to the closing rate of Rs. 1,405 per tola recorded the day before.

    This surge in gold prices indicates dynamic market conditions, influenced by various factors impacting precious metal values.

    Throughout the trading session, a total of 308 different stocks were traded in 41,679 transactions. The total volume of shares exchanged was 5,115,658, resulting in a turnover of Rs. 2.03 Arba. The market capitalization stood at Rs. 31.45 Kharba, with a float market capitalization of Rs. 10.73 Kharba.
