    Prabhu Capital Limited and Century Capital Markets have officially commenced their joint operation on Jestha 01, 2080, following a successful acquisition. The acquisition was approved by the Office of the Registrar and regulatory bodies, as confirmed through a letter issued on Baisakh 26, 2080. The two companies will now conduct their business together under the unified name of “Prabhu Capital Limited.”

    Prior to the merger, both Prabhu Capital Limited and Century Capital Markets held separate Special General Meetings (SGMs) to obtain endorsement for a share swap ratio of 1:1. This ratio indicates that shareholders of both companies received equal shares in the merged entity. As a result, the registered office of the merged company, Prabhu Capital Limited, will be situated in Kamaladi, Kathmandu.

    The joint operation of Prabhu Capital Limited marks a significant milestone in the financial market, bringing together the expertise and resources of both entities. The merger is expected to enhance their capabilities and expand their reach to provide comprehensive services to clients in the Nepalese market.

    The Taragaon Regency Hotel (TRH) has released its third-quarter report for the fiscal year 2079/80, revealing a significant surge in Net Profit. Compared to the same quarter in the previous fiscal year, the company’s Net Profit has increased by an impressive 476.52%, amounting to Rs. 23.88 crores.

    TRH, the operator of Hyatt Regency Hotel, has also witnessed a growth in investments. By raising investments by 27%, the company now holds investments worth Rs. 1.32 Arba.

    Furthermore, the company’s operational revenue has experienced a substantial rise of 116.64%, reaching Rs. 90.61 crores in the third quarter of the current fiscal year. This increase has contributed to the overall profitability of the company.

    With a paid-up capital of Rs. 1.88 Arba, TRH has bolstered its reserves by 82.79%, equivalent to Rs. 51.39 crores, establishing a solid financial position for the company.

    TRH maintains an impressive Earning per Share (EPS) of Rs. 16.88, in contrast to the previous EPS of only Rs. 2.93.

    Additionally, the Taragaon Regency Hotel boasts a Net Worth per Share of Rs. 127.24 and a Price per Earning (P/E) Ratio of 27.55 times.

    Meanwhile, the closing price of the company’s shares stood at Rs. 465 at the end of the third quarter in the current fiscal year.

    Nepal Rastra Bank (NRB) Cancels Dividend Proposal of Rastra Utthan Laghubitta Bittiya Sanstha Limited (RULB)

    The dividend proposal put forth by Rastra Utthan Laghubitta Bittiya Sanstha Limited (RULB) has been canceled by the Nepal Rastra Bank. During the 86th meeting of the board of directors held on Baisakh 13, the company had proposed a 15% dividend for the fiscal year 2078/79 based on the paid-up capital of Rs. 26 Crores. The proposal included the distribution of 14.25% bonus shares valued at Rs. 3.7 crores and a cash dividend of 0.75% amounting to Rs. 19.50 lakhs.

    However, as per a notice from the Nepal Stock Exchange (NEPSE), the dividend proposal required approval from the Nepal Rastra Bank (NRB), which has now been canceled due to non-compliance with the Nepal Financial Reporting Standards (NFRS) in the financial statement.

    Furthermore, a letter regarding the company’s annual general meeting was sent to the NRB on Baisakh 20, but the proposed dividend was not included in the letter. As a result, the dividend proposal has been rejected by the NRB.

    Following the convening of its 6th Annual General Meeting on 11th Chaitra, Asha Laghubitta Bittiya Sanstha Limited (ALBSL) has listed 4,77,020 unit bonus shares on the Nepal Stock Exchange (NEPSE). The AGM had approved a 15% dividend for the fiscal year 2078/79, with the board of directors deciding to distribute 14.2857% bonus shares and 0.7143% cash dividend (for tax purposes) based on the paid-up capital of Rs. 33.39 Crores. The bonus shares have now been officially listed on NEPSE, and as of the latest update, ALBSL is trading at an Last Traded Price (LTP) of Rs. 670.

    The Securities Board of Nepal (SEBON) has given approval for the Further Public Offering (FPO) of Unique Nepal Laghubitta Bittiya Sanstha Limited (UNLB) on Baisakh 21, 2080. UNLB will issue 379,425 units of FPO shares, which the general public can apply for at a par value of Rs. 100 per share, raising Rs. 37,942,500 for the company. After the issuance of these FPO shares, the paid-up capital of the company will increase from Rs. 110,632,500 to Rs. 14.85 crores.

    Muktinath Capital Limited has been appointed as the issue manager of the FPO, and the application was submitted to SEBON on Chaitra 17. Previously, Unique Nepal Laghubitta planned to issue an IPO for 2.70 lakh shares. However, after merging with Ghodighoda Laghubitta and commencing their joint operation on 30th Poush, 2078 under the name of Unique Nepal Laghubitta Bittiya Sanstha Limited, the company will now issue an FPO instead to adjust its shareholding ratio. Ghodighoda Laghubitta was a publicly listed company, and the merged company’s promoter: public share structure is currently 94:6 ratios. After the FPO, this ratio will change to 70:30.

    Citizen Investment Trust (CIT) has released its unaudited report for the third quarter of the fiscal year 2079-2080, showing a significant increase in net profit. The company recorded a net profit of Rs. 77.79 crores, marking a 26.15% increase from the corresponding quarter of the previous year.

    During this quarter, CIT made investments amounting to Rs. 2.12 Kharba, which is a 13.02% increase compared to the relevant quarter of the previous year. According to the report published by the company, the paid-up capital currently stands at Rs. 4.25 Arba. However, the share premium of the company decreased by 77.56% and now stands at Rs. 28.38 crores.

    The earnings per share (EPS) for CIT during this quarter was Rs. 24.40 on an annualized basis. Additionally, the company reported a Return on Investment (ROI) of 9.67% and a price-to-earnings (P/E) ratio of 85.65 times for the third quarter of FY 2079/80. Overall, this unaudited report suggests that CIT has performed well in this quarter, with notable growth in net profit and investments.

    Ingwa Hydropower Limited has announced the closure of its IPO issuance of 12,68,639 unit shares with a face value of Rs. 100 per share. The issue, which opened on April 13, 2080, is oversubscribed by 8.64 times, with 994,624 applicants applying for a total of 10,964,750 units. The company intends to collect Rs. 12.68 crore from this IPO, with 70% of the shares belonging to promoter shareholders.

    Before this issuance, the company had allotted 306,840 units of its 6,00,000 unit shares worth Rs. 6 crores to project-affected locals in Taplejung District, with the remaining 293,160 units added to the 12,00,000 units reserved for the general public. Out of the total 14,93,160 units available to the general public, 120,000 units have already been allotted to Nepalese citizens working abroad, while 5% and 2% have been set aside for mutual funds and employees of the company, respectively. The remaining 12,68,639 units are for the general public, with a minimum application of 10 units and a maximum of 20,000 units.

    The IPO issuance is managed by Sunrise Capital Limited, while CARE Ratings Nepal Limited has assigned an issuer rating of ‘CARE-NP BB (Is)’ to Ingwa Hydropower Limited, indicating a moderate risk of default regarding timely servicing of financial obligations in Nepal. The company was incorporated on June 23, 2009, as a private limited company and was later converted into a public limited company on August 25, 2014. The company’s institutional promoters and individual businessmen in Nepal have promoted it to set up a 9.70 MW run-of-river, Upper Ingwa Khola hydroelectric project under the BOOT mechanism in the Panchthar district of Nepal.

    The Securities Exchange Board of Nepal (SEBON) has authorized Upper Syange Hydropower Limited’s proposed initial public offering (IPO) on Baisakh 13, 2080.

    The corporation will now issue 870,000 equity shares at NPR 100 per share. The issuance is worth Rs. 8.7 crore. This is equivalent to 39.55% of the company’s issued capital. The company’s total paid-up capital following the IPO allotment will be Rs 22 crores.

    The Securities Exchange Board of Nepal (SEBON) has authorized Nepal Republic Media Limited’s proposed initial public offering (IPO) on Baisakh 11.

    The corporation will now issue 4,353,000 equity shares at NPR 100 per share. The issuance is worth Rs. 43.53 crore. This represents 44.99% of the outstanding capital of the corporation. The company’s total paid-up capital following the IPO allotment will be Rs 96.75 crores.

    Mega Capital Markets Limited has been designated as the planned IPO’s issue manager.
