    Purwanchal Lube Oil Limited has scheduled its 24th Annual General Meeting (AGM) for the 29th of Poush, 2080. The venue for the meeting is set to be the Company Register Office in Sundarharaicha, Morang, Biratchowk, commencing at 11 AM on the specified day.

    The proposed agendas for the AGM include the endorsement of the company’s annual report, approval of the auditor’s report for the fiscal year 2079/80, along with Profit and Loss (PNL) statements, financial reports, and cash flow reports. Additionally, the AGM will address the appointment of auditors and the determination of their remuneration for the fiscal year 2080/81. Other items on the agenda involve the proposal of cash dividends (including tax) and bonus shares for existing shareholders, the issuance of an Initial Public Offering (IPO) to the general public, and the passage of resolutions related to necessary amendments to the company’s rules and regulations.

    Furthermore, the AGM aims to authorize the Board of Directors to modify the Articles of Association and Regulations, allowing for adjustments or additions related to the issuance of primary shares in accordance with directives from regulatory bodies.

    Nepal Lube Oil Limited (NLO) has proposed a 30% dividend for the fiscal year 2079/80 and has scheduled the 32nd Annual General Meeting (AGM) on Poush 25, 2080. The decision to propose a 30% dividend, comprising 25% bonus shares and 5% cash dividends, was made during the 371st meeting of the board of directors held on Poush 01. The company’s current paid-up capital stands at Rs. 4.86 Crores.

    Additionally, the AGM will address the endorsement of the auditor’s report, including profit and loss statements, financial reports, and cash flow reports for the fiscal year 2079/80. There will also be a crucial agenda item to appoint an auditor for the fiscal year 2080/81.

    Investors are notified that the book closure date is set from Poush 10 to Poush 24. Consequently, shareholders who maintain their shares before this date will be eligible for the dividend payout and can also participate in the upcoming AGM. As of the last trading day, NLO closed at Rs. 282.40.

    Jyoti Bikas Bank Limited (JBBL) has recently provided 3% bonus shares directly to the DEMAT accounts of its shareholders and has urged them to convert their physical shares into electronic form through dematerialization. The bank’s move aims to facilitate seamless share transactions and promote the modernization of shareholding processes.

    During the bank’s 15th Annual General Meeting (AGM) held on the 14th of Falgun, a dividend of 6.80% amounting to Rs. 29.02 crores was endorsed for the fiscal year 2078/79. The dividend distribution decision was made during the 440th board of directors meeting on Poush 22. Based on the bank’s paid-up capital of Rs. 4,26,77,53,287, the proposed distribution includes 3% bonus shares valued at Rs. 12.80 crores and a 3.80% cash dividend (intended for tax purposes) totaling slightly over Rs. 16.21 crores. It is important to note that the bonus shares have already been listed on the Nepal Stock Exchange (NEPSE).

    JBBL has also requested its shareholders to pay the applicable tax amount for the 11% bonus shares proposed during the fiscal year 2077/2078, including the cash dividend approved during the 15th AGM.     Purwanchal Lube Oil (PLO) plans to issue 500,000 equity shares to the general public through an initial public offering (IPO), with Prabhu Capital Limited serving as the share issue and sales manager.

    On Magh 18, 2079, the two parties’ contract was completed. The agreement was signed by Mr. Bholeshwar Dulal, Managing Director of Purwanchal Lube Oil, and Mr. Dinesh Thakali, Managing Director of Prabhu Capital.
