    Samudayik Laghubitta Bittiya Sanstha Limited (SLBSL) has announced that today is the final day to avail the dividend they have proposed. The company has scheduled its 9th Annual General Meeting (AGM) on the 22nd of Ashad, 2080. The AGM will take place at The Dhulikhel Lodge Resort in Dhulikhel, Kavrepalanchowk, starting from 11 AM. One of the important matters to be addressed during the meeting is the endorsement of a 15% dividend for the fiscal year 2078/79. The board of directors has decided to distribute this dividend on the paid-up capital of Rs. 13.20 Crores. They have proposed 10% bonus shares worth Rs. 1.32 crores and a 5% cash dividend amounting to Rs. 66 lakhs.

With the issuance of the proposed right shares, the company’s paid-up capital will increase to Rs. 52.8 Crores. DHPL intends to utilize the funds raised from this issuance to clear the loans it has taken from banks.

    CARE Ratings Nepal Limited (CRNL) has been notified by the Securities Board of Nepal (SEBON) that the action process, which was initiated based on a request for explanation made five and a half months ago, is currently underway. The SEBON’s Board of Directors (BODs) had requested an explanation from CARE Ratings Nepal during their meeting on 24th Poush, 2079, regarding why their license should not be suspended. As CARE Ratings Nepal did not respond to the request, the process of suspending their license was initiated. The suspension was prompted by allegations of providing a credit rating to Ghorahi Cement in a situation involving a conflict of interest.

    Samudayik Laghubitta Bittiya Sanstha Limited (SLBSL) has scheduled its 9th Annual General Meeting (AGM) to take place on the 22nd of Ashad, 2080. The AGM will be held at The Dhulikhel Lodge Resort in Dhulikhel, Kavrepalanchowk, starting at 11 AM.

    One of the key agenda items to be discussed and endorsed during the meeting is the distribution of a 15% dividend for the fiscal year 2078/79. The board of directors has proposed to distribute the dividend based on the company’s paid-up capital of Rs. 13.20 crores. This includes 10% bonus shares worth Rs. 1.32 crores and a 5% cash dividend amounting to Rs. 66 lakhs. Additionally, the election of four directors from the promoter shareholding group and two directors from the public shareholding group will be conducted.

    The Nepal Stock Exchange (NEPSE) has made an adjustment to the share price of National Hydropower Company Limited (NHPC) on Ashad 1, Friday. This adjustment was necessary as NHPC closed its books in preparation for issuing right shares, prompting NEPSE to establish a new share price.

    NEPSE has adjusted 50 percent of NHPC’s rightful shares, resulting in a revised share price of Rs. 182.7. This adjusted price was determined based on the closing price of NHPC’s shares in the previous trading day, which was Rs. 223.10. The revised share price will come into effect when trading resumes on Sunday in the secondary market.

    NHPC has announced plans to issue 50% right shares worth Rs. 82.21 Crores. This entails offering a total of 8,221,459.7178 (10:5) units of right shares to its existing shareholders. Currently, NHPC’s paid-up capital stands at Rs. 1.64 Arba, and it will increase to Rs. 2.46 Arba following the issuance of the proposed right shares.

    Chhyangdi Hydropower Company Limited (CHL) has submitted an application to the Securities Exchange Board of Nepal (SEBON) to add its right shares to the pipeline for preliminary review.

    The hydropower company intends to issue 100% right shares amounting to Rs. 38.67 Crores. This will be achieved through the issuance of 3,869,775 (1:1) units of right shares to its existing shareholders. Currently, the company has a paid-up capital of Rs. 38.67 Crores. Upon the successful adjustment of the proposed right shares, the paid-up capital of the company will be raised to Rs. 77.39 Crores.

    BOK Capital Market has been appointed as the issue manager for this right share issuance. The application for the issuance was submitted to SEBON on Jestha 22, 2080. The approval and subsequent details regarding the timeline and pricing of the right shares will be determined after the completion of the SEBON’s preliminary review process.

    Considering the ongoing acquisition of Rastra Utthan Laghubitta by Asha Laghubitta Bittiya Sanstha Limited (ALBSL), both AGMs will pass a resolution to evaluate the Due Diligence Audit. Additionally, they will endorse a share swap ratio of 1:1 for the acquisition and approve the final agreement. The newly formed entity resulting from the acquisition will be named ‘Rastra Asha Laghubitta Bittiya Sanstha Limited’. The AGM will also address the amendment of the Articles of Association, granting full authority to the board of directors to modify various acquisition-related proceedings based on instructions from regulatory bodies.

    Moreover, during the AGM, the approval of a 15% dividend worth Rs. 3.9 Crores for the fiscal year 2078/79 will be sought. In a previous meeting held on Baisakh 13, the board of directors had decided to distribute 14.25% bonus shares amounting to Rs. 3.7 crores and a 0.75% cash dividend worth Rs. 19.50 lakhs from the paid-up capital of Rs. 26 Crores.
