    United Ajod Insurance Limited (UAIL) held its 30th Annual General Meeting on Sunday, 6th Falgun, 2080, at Anmol Banquet, Shankhamul, Kathmandu. The meeting covered various key agenda items, including the approval of annual reports from the Management Committee, the financial performance for the fiscal year 2079/80, and the audit reports of former Ajod Insurance Ltd. and United Insurance Co. (Nepal) Ltd. Additionally, the financial statements for the upcoming fiscal year 2080/81, encompassing details such as financial results, balance sheet, and cash flow, received unanimous approval.

    A significant decision made during the meeting was the endorsement of a 10.8013% dividend to shareholders. This dividend comprised a 0.5401% cash dividend and a 10.2612% bonus share, calculated from the paid-up capital of Rs. 1.90 Arba.

    Moreover, the gathering witnessed the election of a new board of directors for the company. The selections included individuals such as Mr. Ajad Shrestha, Mr. Pranav Kumar Das, and Mr. Balram Khanal representing the founder’s side, along with Mr. Panu Datta Poudel and Mr. Shambhu Adhikari, who were elected to represent the general public. This reshuffling of the board is expected to bring fresh perspectives and leadership to United Ajod Insurance Limited as it moves forward into the future.

The proposal includes 10% bonus shares and 0.52632% cash dividend for tax purposes. The value of the bonus shares is estimated at Rs. 15.51 crores, and the cash dividend amounts to Rs. 81.63 lakhs.     Siddhartha Premier Insurance Limited (SPIL) has scheduled its 30th Annual General Meeting (AGM) for the 30th of Falgun, 2080. The AGM will take place at Lisara Receptions, Bhagwati Bahal, Kathmandu, starting at 11:00 a.m. On the agenda is the endorsement of an 11% cash dividend for the fiscal year 2079/80, totaling Rs. 30.87 crores, as decided in the 19th Board of Directors meeting held on Magh 21. SPIL’s current paid-up capital is Rs. 2.80 Arba.

    Additionally, the AGM will review and approve the auditor’s report along with the profit and loss statements, financial reports, and cash flow reports. An auditor will also be appointed for the fiscal year 2080/81. Furthermore, there will be elections to select six directors, including four from the promoter shareholder group and two from the public shareholder group.

    Among the agenda items, the AGM will approve the issuance of right shares and declare an 8.1578% dividend for the fiscal year 2079/80. In a board meeting held on Magh 12, the board of directors decided to distribute 7.75% bonus shares and a 0.4078% cash dividend (for tax purposes). The bonus shares are valued at Rs. 24.45 crores, while the cash dividend amounts to slightly over Rs. 1.28 crores. ALICL’s current paid-up capital stands at Rs. 3.15 billion.

    In a decision made during the 19th board of directors meeting on Magh 21, SPIL announced the distribution of an 11% cash dividend, inclusive of tax, amounting to Rs. 30.87 crores. The company’s current paid-up capital stands at Rs. 2.80 Arba.

    However, the approval of the cash dividend is pending, awaiting the nod from the Nepal Insurance Authority and the upcoming Annual General Meeting (AGM).

    Dordi Khola Hydropower Company Limited (DORDI) has selected Sanima Capital Limited as the exclusive issue manager for its upcoming 1:1 ratio rights issue, according to an announcement from the Nepal Stock Exchange (NEPSE).

    In the upcoming rights issue, the hydropower company plans to issue 10,542,604 (1:1) units of right shares, equal to 100% of its existing shares, to its current shareholders. Currently, the company’s paid-up capital stands at Rs. 1.05 Arba, and the proposed right share issuance aims to significantly boost the financial structure, bringing the paid-up capital to Rs. 2.11 Arba after the adjustment of 1.05 crores units.
