    Api Power Company Limited (API) has announced that today is the final day for shareholders to be eligible for its rights offering. The hydropower company plans to issue 40% right shares, amounting to Rs. 1.65 Arba, through the issuance of 1,65,33,137 units of right shares to its existing shareholders. This offering will increase the company’s paid-up capital from Rs. 4.13 Arba to Rs. 5.78 Arba.

    To participate in the rights offering, shareholders must have maintained their ownership in the company until today. The book closure date has been set for Ashad 22, 2080, which means that only shareholders who meet this requirement will be eligible to participate in the rights offering.

    NEPSE Approves Membership for Seven New Brokerage Companies

    The Nepal Stock Exchange (NEPSE) has confirmed the membership of seven new brokerage companies. These companies have met the criteria and received approval from NEPSE’s Board of Directors.

    Expansion of Brokerage Services

    The seven newly approved companies include Bhole Ganesh Securities Limited, Capital Max Securities Limited, Himalayan Brokerage Company Limited, Sun Securities Private Limited, Miyo Securities Private Limited, Sharepro Securities Private Limited, and Property Wizard Limited.

    Phase Two Approval

    In the second phase, 11 additional companies obtained licenses from the Securities Board of Nepal (SEBON). Mega Stock Markets Limited can now operate as a full securities broker. Nabil Securities Limited, the sole applicant for a broker company with a dealer’s license, also received approval.

    Inspection and Testing

    NEPSE is currently inspecting the infrastructure of new brokers to ensure compliance with regulations. Brokers are preparing their IT manpower and establishing connections through an Application Programming Interface (API) for testing purposes.

    Membership and Business Activities

    After receiving NEPSE’s permission, brokers will need to obtain membership from the CDS and Clearing Limited. Once this process is complete, brokers can begin their business activities in the stock market.

    Preparations Underway

    Brokers are actively managing staff and preparing their infrastructure for smooth operations in the market. They are working to meet requirements and ensure a successful entry.

    NEPSE’s Internal Examination

    NEPSE’s Board of Directors will conduct an internal examination of the NEPSE-30 index before determining its operational date. This demonstrates NEPSE’s commitment to a well-functioning stock market.

    Upper Lohore Hydropower Company Limited has provided updates regarding its initial public offering (IPO) of shares. The IPO is now closed to Nepalese citizens working abroad as of the 21st of Ashad, 2080. However, the deadline for project-affected locals in the Dailekh District has been extended until the 5th of Shrawan. The IPO process started on the 7th of Ashad, 2080.

    The company’s issued capital is Rs. 50.98 Crores, with 10% of the shares, worth Rs. 5.09 crores, allocated to project-affected locals in Dailekh District. Another 39% of the company’s issued capital, equivalent to 19,88,236 units, will be offered to the general public at a later date. Within the public issue, 10% of the shares, totaling 198,824 units, are reserved for Nepalese citizens working abroad, and the closing date for their participation is today.

    The minimum application quantity for both project-affected locals and Nepalese citizens working abroad is 10 units, while the maximum is 25,000 units.

    NIC Asia Capital Limited is the appointed issue manager, and after the IPO, the promoter-public share ratio will be 51:49.

    According to the Central Depository System and Clearing Limited (CDSC), 23,846 applications have been received from Nepalese citizens working abroad, with a total of 585,570 units applied for so far.

    The Upper Lohore Hydropower Company Limited has been assigned a ‘CARE-NP BB- (Is)’ rating by Credit Rating Nepal Limited (CRNL), indicating a moderate risk of default regarding financial obligations in Nepal.

    Established as a private limited company on November 10, 2017, the Upper Lohore Hydropower Company Limited has since become a public limited company. The company’s main focus is the development of the Upper Lohore Hydropower Project in the Dailekh district, with a capacity of 4MW as a run-of-the-river type project.

    According to the Nepal Insurance Authority (NIA), the number of life insurance policies taken by individuals working abroad has increased by a significant 80.68 percent within a year. From Jestha 2079 to Jestha 2080, the number of life insurance policies subscribed for foreign employment rose from 876,541 to 1,583,746.

    Overall, there has been growth in both life and non-life insurance policies during this period. The total count of life insurance policies sold increased by 11.38 percent, reaching 14,069,937 by Jestha 2080, compared to 12,632,373 by the end of Jestha 2079.

    Nepal Rastra Bank (NRB) has responded to the accumulation of excess liquidity in the banking system by issuing another reverse repo. After previously issuing reverse repos on two separate occasions, NRB has now introduced Rs. 20 Arba on Tuesday. The reverse repo is a monetary tool utilized to absorb surplus liquidity and bring stability to the system. Considering there is approximately Rs. 40 Arba of excess liquidity in the system, this marks the fourth reverse repo issued by NRB during the current financial year.

    Citizen Investment Trust (CIT) has announced that today is the final day for shareholders to claim the proposed dividend.

    The company has scheduled its 28th Annual General Meeting (AGM) for the 31st of Ashad, 2080. The meeting will take place at the company’s head office in New Baneshwor, Kathmandu, commencing at 3 pm.

    Among the various agenda items, the AGM will approve a dividend of 26.3158% for the fiscal year 2078/79. This decision was made during a board of directors meeting on Baisakh 29. The proposed dividend includes 25% bonus shares and 1.3158% cash dividend (for tax purposes). The current paid-up capital of CIT is Rs 4,251,000,576. Additionally, the AGM will also involve the election of a director and the appointment of a representative to sign the decision book on behalf of the shareholders and directors.

    The book closure date for dividend entitlement is Ashad 19. Shareholders who hold shares until today are eligible to receive the dividend and can also participate in the AGM.

    Ngadi Group Power Limited (NGPL) has proposed to offer 100% rights shares to its existing shareholders. The proposal was made during a recent Board of Directors meeting.

    NGPL’s Siurikhola Small Hydropower Project, located in Lamjung District, Gandaki Province, with a capacity of 4.95 MW, has been performing well due to regular maintenance. However, additional funds are needed to maintain existing projects, settle payments, invest in new projects, attract investments, create jobs, and increase national capital.

    To address this funding requirement, NGPL aims to issue rights shares in a 1:1 ratio to its current shareholders. This will increase the company’s paid-up capital from Rs. 1.85 Arba to Rs. 3.7 Arba.

    Approval from the Electricity Regulatory Commission and subsequent endorsement at the Annual General Meeting (AGM) are necessary for the issuance of the rights shares.

    NGPL had previously issued 150% rights shares to its shareholders.

    As of July 02, NGPL shares were trading at Rs. 241.

    Reliable Nepal Life Insurance has received approval from the Securities Board of Nepal (SEBON) to launch an initial public offering (IPO) with a premium. The IPO will offer shares at a price of Rs 257 per share, including a premium of Rs 157 above the face value of Rs 100. A total of 1.2 crore unit shares, valued at Rs 2,989,800,800, will be issued, representing 30 percent of the company’s paid-up capital. Civil Capital Market Limited has been appointed as the issue manager for the share offering. Currently, the company’s promoters hold a 70 percent stake in the company.

    Terhathum Power Company Limited (TPC) has suggested giving 100% rights shares to its existing shareholders. This decision was taken during a meeting of the Board of Directors on Ashad 12, 2080. The main aim behind issuing these rights shares is to support the progress of the Khorunga Tangmaya Khola hydropower project, which has a capacity of 2 MW. Furthermore, the funds generated from the rights shares will be utilized for investments in other hydropower companies that provide dividends to their investors.

    Samudayik Laghubitta Bittiya Sanstha Limited (SLBSL) has announced that today is the final day to avail the dividend they have proposed. The company has scheduled its 9th Annual General Meeting (AGM) on the 22nd of Ashad, 2080. The AGM will take place at The Dhulikhel Lodge Resort in Dhulikhel, Kavrepalanchowk, starting from 11 AM. One of the important matters to be addressed during the meeting is the endorsement of a 15% dividend for the fiscal year 2078/79. The board of directors has decided to distribute this dividend on the paid-up capital of Rs. 13.20 Crores. They have proposed 10% bonus shares worth Rs. 1.32 crores and a 5% cash dividend amounting to Rs. 66 lakhs.

According to a media statement, the company will be issuing shares in a 1:1 ratio. A memorandum of understanding (MoU) was signed between the acting CEO of Mega Capital Market, Sulav Shrestha, the marketing head of the bank, Giriraj Pokharel, and the chairman of Dibyashwori Hydropower, Dadiram Niraula, along with Buddha Krishna Manandhar from the hydropower company. The signing took place during a program, as mentioned in the media statement.
