    Collaboratively organized by NIBL Ace Capital Ltd., Express Services Private Limited, and Pioneer Law Associates, a workshop titled “Road to IPO” was held to educate corporate houses about the IPO process from legal and financial perspectives. Dynamic Techno Soft Pvt. Ltd., as a sponsor, prominently displayed its banner during the event. The workshop took place on Monday, May 8, 2023, at Clark Resort in Birgunj.

    Mr. Anup Raj Upreti, Managing Partner of Pioneer Law Associates, and Mr. Sachindra Dhungana, Deputy General Manager of NIBL Ace Capital Limited, served as presenters for the session. CA Subhash Khandelwal and CA Pradeep Kushwaha played crucial roles in the successful implementation of the program.

    The workshop delved into various topics related to IPO, focusing on legal aspects, corporate governance, capital structure, IPO pricing, size, timeline, and methods. Participants from different corporate houses gained valuable insights into the different aspects of IPO.

    The Taragaon Regency Hotel (TRH) has released its third-quarter report for the fiscal year 2079/80, revealing a significant surge in Net Profit. Compared to the same quarter in the previous fiscal year, the company’s Net Profit has increased by an impressive 476.52%, amounting to Rs. 23.88 crores.

    TRH, the operator of Hyatt Regency Hotel, has also witnessed a growth in investments. By raising investments by 27%, the company now holds investments worth Rs. 1.32 Arba.

    Furthermore, the company’s operational revenue has experienced a substantial rise of 116.64%, reaching Rs. 90.61 crores in the third quarter of the current fiscal year. This increase has contributed to the overall profitability of the company.

    With a paid-up capital of Rs. 1.88 Arba, TRH has bolstered its reserves by 82.79%, equivalent to Rs. 51.39 crores, establishing a solid financial position for the company.

    TRH maintains an impressive Earning per Share (EPS) of Rs. 16.88, in contrast to the previous EPS of only Rs. 2.93.

    Additionally, the Taragaon Regency Hotel boasts a Net Worth per Share of Rs. 127.24 and a Price per Earning (P/E) Ratio of 27.55 times.

    Meanwhile, the closing price of the company’s shares stood at Rs. 465 at the end of the third quarter in the current fiscal year.

    Nepal Rastra Bank (NRB) Cancels Dividend Proposal of Rastra Utthan Laghubitta Bittiya Sanstha Limited (RULB)

    The dividend proposal put forth by Rastra Utthan Laghubitta Bittiya Sanstha Limited (RULB) has been canceled by the Nepal Rastra Bank. During the 86th meeting of the board of directors held on Baisakh 13, the company had proposed a 15% dividend for the fiscal year 2078/79 based on the paid-up capital of Rs. 26 Crores. The proposal included the distribution of 14.25% bonus shares valued at Rs. 3.7 crores and a cash dividend of 0.75% amounting to Rs. 19.50 lakhs.

    However, as per a notice from the Nepal Stock Exchange (NEPSE), the dividend proposal required approval from the Nepal Rastra Bank (NRB), which has now been canceled due to non-compliance with the Nepal Financial Reporting Standards (NFRS) in the financial statement.

    Furthermore, a letter regarding the company’s annual general meeting was sent to the NRB on Baisakh 20, but the proposed dividend was not included in the letter. As a result, the dividend proposal has been rejected by the NRB.

    Gold prices in the domestic market have experienced a decline of Rs. 800 per tola. The official website of the Federation of Nepal Gold and Silver Dealers’ Association indicates that fine gold is currently trading at Rs. 110,800 per tola, down from yesterday’s rate of Rs. 111,600 per tola. Similarly, Tejabi gold is being traded at Rs. 110,250 today, compared to yesterday’s rate of Rs. 111,050 per tola.

    In addition, the price of silver has also dropped by Rs. 55 per tola. The lustrous white metal is currently being traded at Rs. 1,375 per tola in the local market, down from the previous day’s closing rate of Rs. 1,430 per tola.

    Internationally, the current price of gold stands at USD $2,011.50 per ounce, while silver is being traded at $24 per ounce.

    Nerude Laghubitta Bittiya Sanstha Limited (NLBBL) has released its third-quarter report for FY 2079/2080, revealing a significant decline in net profit by 85.22%. According to the report, the net profit decreased to Rs. 3.15 crores, compared to Rs. 21.37 crores in the corresponding quarter of the previous year.

    The company’s borrowings decreased by 5.57% to Rs. 4.91 Arba, down from Rs. 5.20 Arba in the same quarter of the previous year. On the other hand, deposits increased by 5.29% to Rs. 3.37 Arba, while loans and advances experienced a slight decrease of 0.26% to 9.89 Arba during this quarter.

    The core revenue, represented by net interest income, saw a significant decrease of 30.82% to Rs. 33.05 crores, compared to Rs. 47.78 crores in the corresponding quarter of the previous year.

    The provision for possible losses amounted to Rs. 7.10 crores, marking a substantial increase of 1278.48%, impacting the overall profitability for this period.

    In terms of financial position, the paid-up capital of the company stood at Rs. 73.20 crores in this quarter, with reserve and surplus at Rs. 52.27 crores.

    The company’s non-performing loans (NPL) stood at a higher level of 9.78%.

    The earnings per share (EPS) for the company is reported as Rs. 5.75, while the net worth per share stands at Rs. 171.41. The company traded at a price-to-earnings (P/E) multiple of 106.97 times.

    Following the convening of its 6th Annual General Meeting on 11th Chaitra, Asha Laghubitta Bittiya Sanstha Limited (ALBSL) has listed 4,77,020 unit bonus shares on the Nepal Stock Exchange (NEPSE). The AGM had approved a 15% dividend for the fiscal year 2078/79, with the board of directors deciding to distribute 14.2857% bonus shares and 0.7143% cash dividend (for tax purposes) based on the paid-up capital of Rs. 33.39 Crores. The bonus shares have now been officially listed on NEPSE, and as of the latest update, ALBSL is trading at an Last Traded Price (LTP) of Rs. 670.

    The company’s borrowings decreased by 12.91% to Rs. 14.14 Arba, down from Rs. 16.23 Arba in the corresponding quarter of the previous year. Deposits also saw a decline of 14.80% to Rs. 2.85 arba, while loans and advances decreased by 7.30% to 19.58 Arba during this quarter.

    The core revenue, represented by net interest income, experienced a significant decrease of 34.96% to Rs. 77.67 Crores, compared to Rs. 1.19 Arba in the same quarter of the previous year.

    In terms of financial position, the paid-up capital of the company remained at Rs. 1.73 arba in this quarter, and its reserve and surplus stood at Rs. 1.28 arba.

    The company’s non-performing loans (NPL) increased from 1.46% to 4.91%.

    Considering the prevailing economic and financial conditions, the NRB has formulated and implemented the necessary monetary policies to achieve these objectives. Adhering to the rule of reviewing the economic and financial situation on a quarterly basis, the focus of this review is on the third quarter of the current fiscal year.

    Prabhu Life Insurance Limited (PLI) has proposed a dividend of 10.526% for the fiscal year 2077/78. This is the first dividend the company has proposed since being listed on the Nepal Stock Exchange (NEPSE).

    The company’s board of directors, at its 140th meeting held on Baisakh 25, has decided to distribute a dividend consisting of 10% bonus shares and 0.526% cash dividend (including tax). PLI has a paid-up capital of Rs. 2 Arba, making the bonus shares worth Rs. 20 crores and the cash dividend worth Rs. 1.05 crores.

    However, it’s important to note that this dividend is subject to approval by the Nepal Insurance Authority and endorsement at the upcoming AGM.

    As of writing, the company’s closing price on the last trading day stands at Rs. 390.

    Garima Bikas Bank Limited has distributed 13% bonus shares directly to the DEMAT account of its shareholders and has urged them to dematerialize their shares. This was announced after the bank’s 16th AGM where it also endorsed a 14.5% dividend worth Rs. 66.56 Crores for the fiscal year 2078/79. The board of directors meeting held later decided to distribute a 14.5% dividend on the paid-up capital of Rs. 4.59 Arba.

    In addition to the bonus shares, 1.50% cash dividend worth Rs 6.88 Crores was proposed. The bonus shares were already listed in NEPSE. The bank has also requested its shareholders to pay the tax amount for the 16% bonus shares proposed for FY 2077/2078. The details of the tax amount that a shareholder has to pay can be found on the website of the share registrar NIBL Ace Capital Limited.

    The bank’s decision to distribute bonus shares and dividends is expected to benefit its shareholders. The distribution of bonus shares will increase their ownership in the bank, while the dividend payment will provide them with a direct cash payment. The bank has also encouraged its shareholders to dematerialize their shares. This will facilitate electronic trading of shares, making it easier for shareholders to trade them in the secondary market.

    Manakamana Smart Laghubitta Bittiya Sanstha Limited (MKLB) has published its third-quarter report for the fiscal year 2079/2080, which shows a significant decline in net profit by 108.05% compared to the same quarter in the previous year. The net profit dropped to a negative of Rs. 42.52 lakhs from Rs. 5.28 crores.

    The company’s borrowings decreased by 29.92% to Rs. 37.6 crores, and deposits increased by 17.57% to Rs. 4.69 crores. Loans and advances also decreased by 13.91% to Rs. 93.49 crores during this quarter.

    MKLB’s net interest income (core revenue) decreased by 25.73% to Rs. 4.15 crores compared to Rs. 5.59 crores in the corresponding quarter of the previous year. The company’s paid-up capital stood at Rs. 14.17 crores, and its reserve and surplus stood at Rs. 1.87 crores, showing a decrease of 41.98% in this quarter.

    The cost of funds slightly increased to 9.83% from 8.08% in the corresponding quarter, and the non-performing loans increased to 4.91%. The annualized earnings per share (EPS) for MKLB stand at Rs. -4, while the net worth per share is Rs. 113.2.

    In summary, MKLB’s third-quarter report showed a massive decline in net profit, a decrease in borrowings, an increase in deposits, and a decrease in loans and advances. Additionally, the company’s net interest income, reserve and surplus, and earnings per share have decreased, while the cost of funds and non-performing loans have slightly increased.

The meeting also endorsed a proposal to offer 50% of right shares, equivalent to Rs 75 crore, to existing shareholders.
