    Barahi Hydropower Receives Final Approval for 1:1 Right Share Issuance to Fund Key Projects


    The final approval from the Electricity Regulatory Commission has been granted to Barahi Hydropower Public Limited (BHPL) for the issuance of right shares in a 1:1 ratio for its shareholders. The hydropower company had proposed to issue 100% right shares based on its paid-up capital of Rs. 25 Crores. Following the adjustment of the proposed right shares, totaling 2,500,000 units, the company’s paid-up capital is set to double to Rs. 50 Crores.

    The primary purpose behind the issuance of these right shares is to fund the construction of two hydropower projects owned by BHPL – the Simkosh Khola Hydroelectric Project (3.45 MW) and Lower Theule Khola Hydropower Project (0.75 MW).

    It’s important to note that the company will proceed with the issuance of right shares to its shareholders only upon receiving approval from the Securities Board of Nepal (SEBON). As of the latest update, BHPL closed at Rs. 479.00.

    Just reazlied after my broker’s email that EDIS didn’t went through, so submitted it about an hour after 3 pm when nepse close, Will they charge 20% or will it count T+1 still. I sold them yesterday, so today all day should be technically T+1 right?

    Ghalemdi Hydro Limited Concludes 200% Right Share Issuance for Chujung Khola Project Investment


    Ghalemdi Hydro Limited (GHL) is set to conclude its issuance of right shares to shareholders at a 1:2 ratio starting from the 16th of Poush. The right shares, offered at a rate of 200%, were made available for subscription from the 10th of Mangsir and will remain open until the 16th of Poush, 2080, closing at the end of banking hours.

    In a bid to raise funds, Ghalemdi Hydro Limited aimed to generate Rs. 1.1 Arba by issuing 11,000,000 units of right shares to its existing shareholders at the 200% rate. The company’s strategic decision to offer these right shares is linked to its plan to invest a minimum of 51% of shares in the Chujung Khola hydropower project (63 M.W. PRoR) located in Sankhuwasabha and promoted by Shangrila Urja Pvt. Ltd.

    As of now, Ghalemdi Hydro Limited holds a paid-up capital of Rs. 55 Crores. Upon the successful adjustment of the proposed right shares totaling 1.10 crore units, the company’s paid-up capital is expected to rise to Rs. 1.65 Arba.

    To oversee this right share issuance, Muktinath Capital Limited has been appointed as the issue manager. The book closure date was on Kartik 03, meaning that only shareholders who maintained their holdings before that date are eligible to apply for the rights offering.

    The rights issue began on the 31st of Shrawan and is set to conclude tomorrow, the 19th of Bhadra, 2080, at the close of banking hours.

    The company’s current paid-up capital is Rs. 4.13 Arba, and it will rise to Rs. 5.78 Arba after the proposed rights issue. In this new offering, the hydropower company will distribute rights at a ratio of 1:0.40, resulting in a total of 1 crore 65 lakh 33 thousand 137 right shares with a face value of Rs. 100 each.

    The Securities Board of Nepal (SEBON) approved the issuance of these rights shares on Ashad 6. The company had formally applied for permission from the board on the 6th of Chaitra.

    Laxmi Capital Markets Limited has been appointed as the issue manager for this rights offering.

    Manakamana Engineering Hydropower Limited is concluding the offering of its 2,276,620 unit IPO shares with a face value of Rs 100 each, starting today on the 31st of Shrawan, 2080. This date marks the early closing deadline for the IPO.

    Should the issue not have garnered full subscriptions by the 31st of Shrawan, the closing date could have been extended until the 10th of Bhadra, 2080.

    According to information from CDS and Clearing Limited, as of Wednesday morning, the total number of applications received for the issue has reached 1,168,454, accounting for 13,089,350 unit shares. In monetary terms, this translates to Rs. 1.3089 Arba.

The IPO, which began on the 19th of Ashad, 2080, allocated 10% of the company’s issued capital, amounting to Rs. 8 Crores, to project-affected locals in Dolakha District. Additionally, there will be a public issue of 25% of the company’s capital, with 200,000 unit shares set aside for Nepalese citizens working abroad. The application period for the shares allocated to Nepalese citizens abroad ended on the 2nd of Shrawan, 2080.

    Arun Valley Hydropower Development Company (AHPC) Receives Final Approval for 1:1 Right Share Issuance


    Arun Valley Hydropower Development Company Limited (AHPC) has received the final approval from the Electricity Regulatory Commission to issue right shares to its shareholders at a ratio of 1:1. This decision was made during the Special General Meeting (SGM) held on Ashad 07, where 100% rights shares were endorsed for distribution among the shareholders. The proposal for issuing these right shares was initially put forward during the Board of Directors meeting held on Baisakh 06.

    The approved plan entails issuing a total of 18,679,626 right shares with a par value of Rs. 100 each, amounting to a total value of Rs. 1.86 Arba. Out of this amount, AHPC intends to invest 50% of the issued right shares, equivalent to 9,339,813 unit right shares valued at Rs. 93.39 crore, in the Likhu Khola Hydropower Project (30 MW) developed by PK Hydropower Pvt. Ltd. The remaining 9,339,813 unit shares, also valued at Rs. 93.39 crore, will be utilized to repay the loan obtained by AHPC for the Kabeli ‘B’-1 Cascade Hydropower Project in Panchthar.

    It should be noted that the issuance of these right shares is subject to the approval of the Securities Board of Nepal (SEBON). AHPC will proceed with issuing the right shares to its shareholders once the necessary approval is obtained. As of the time of writing, AHPC’s Last Traded Price (LTP) stands at Rs. 263.90.

    NRB Approves Merger of National and Summit Microfinance


    The Nepal Rastra Bank (NRB) has given its final approval for the merger between National Microfinance Laghubitta Bittiya Sanstha Limited (NMFBS) and Summit Laghubitta Bittiya Sanstha Limited (SMFDB). National Microfinance (NMFBS) issued a press release announcing the approval. The merger proposal by National Microfinance was presented at a Special General Meeting (SGM) and was later finalized through a merger agreement signed by both companies’ boards of directors.
